Agreement Details
05FEES & PAYMENT
- Payment Terms
- Full payment is due prior to commencement.
- Late Payments
- 1.5% per month from the due date.
- Additional Services
- Separate written quote required.
- Service Suspension
- Company may suspend for non-payment.
06REPORTING & COMMUNICATION
Progress updates delivered every 14 days via email. No specific metric outcomes are guaranteed.
07INTELLECTUAL PROPERTY
Unless otherwise agreed in writing, all pre-existing intellectual property remains with its original owner. Final approved deliverables transfer to the Client only after full payment. The Company may display non-confidential work in its portfolio unless prohibited in writing.
08CONFIDENTIALITY
Both parties keep all non-public information confidential for two (2) years after Agreement ends.
09LIMITATION OF LIABILITY
To the maximum extent permitted by law, liability is limited to fees paid under this Agreement for the relevant month of service. Neither party is liable for indirect, consequential, or special damages, including loss of profits, revenue, or data.
10GENERAL PROVISIONS
This document constitutes the entire Agreement between the parties. Amendments must be in writing and signed by both parties. If any provision is invalid, the remainder survives. Force majeure events excuse reasonable delays. Governing law applies based on the Company's principal operating jurisdiction unless otherwise agreed in writing.
Invoice Terms
Services are provided on a subscription or project basis and are valid for the duration of the selected package. Continued access requires renewal after the service period ends. Services will be delivered as per the scope defined in the chosen package or agreement. Any work outside the agreed scope may be subject to additional charges. Full payment is required in advance before starting the services. We reserve the right to update or modify these terms at any time without prior notice.
